Those of you who have participated in consumer shows know that the choice of Expo sites/markets is an all-important one. Quality exhibits and exhibitors! The Quilt, Craft & Sewing Festivals are juried shows to ensure quality exhibits and exhibitors. Exciting and informative classes, seminars and workshops! A wide variety of classes, workshops, demonstrations, and make-it/take-it projects to educate and inspire consumers. TERMS AND CONDITIONS (2010) Governing Exhibits at the QUILT, CRAFT & SEWING FESTIVAL Consumer Shows of the RUSTY BARN PROMOTION GROUP INC. 1. ACCEPTANCE POLICY - The Quilt, Craft & Sewing Festival Consumer Shows are juried events. Rusty Barn Promotion Group Inc. (hereinafter RBPG Inc.) reserves the right to determine if Exhibitor or Exhibit is in conformity with the standards and policies of RBPG Inc. and its Quilt, Craft & Sewing Festival Consumer Shows (hereinafter Show). 2. RE-LOCATION OF EXHIBITS - If, in an exercise of its sole discretion, RBPG Inc. deems it to be in the best interest of the Show, RBPG may assign Exhibitor alternate space prior to the commencement of the Show. 3. DEPOSIT AND PAYMENT - (Payment by credit card) a non-refundable deposit of $100 per 10' x 10' booth space shall be paid at the time of reservation via credit card. The remaining balance of the exhibit booth rental fee shall be charged to the credit card automatically 45 days prior to the show. (Payment by check) payment is required in full at the time of exhibit space reservation. 4. DEFAULT IN OCCUPANCY - In the event Exhibitor fails for any reason to install its exhibit in its assigned space during the posted show set-up hours, or fails to pay rent at the times herein provided, or fails in any other way to comply with any other provision of this agreement, RBPG Inc. shall have the right without further notice to Exhibitor, to take possession of said space. Exhibitor agrees all sums previously paid by Exhibitor shall be deemed to be liquidated damages resulting from Exhibitor's default. 5. SETTING UP AND DISMANTLING - RBPG Inc. reserves the right to establish the time schedule for and manner of setting up and dismantling of Exhibitor's display. Exhibitor agrees to strictly conform therewith. Exhibitor shall not remove any portion of its display prior to the Show being officially closed. 6. SUB-LEASING - Exhibitor shall not sublet, assign or sell any space allocated to it, or provide space for any exhibits other than its own without prior written approval from RBPG Inc. 7. DECORATING/SERVICE CONTRACTORS - RBPG Inc. shall designate Official Contractors for required services, including but not limited to, decorating, electrical, plumbing and labor. Under no circumstances shall Exhibitor contract with other than said Official Contractors. When Union Labor is required, Exhibitor agrees to comply with Union Regulations. 8. REFUND POLICY - A deposit amount of $100 per 10 x 10 booth space is non-refundable. The balance of the booth fee is refundable provided written cancellation notice is received by RBPG Inc. no later than 45 days prior to the Show. The balance of the booth fee is non-refundable when cancellation (regardless of reason) is received less than 45 days prior to the Show. 9. SECURITY - It is recommended that Exhibitor insure its property against loss and theft. Neither RBPG Inc. nor Exhibit Hall Owner shall be responsible for Exhibitor property. 10. INDEMNIFICATION - Exhibitor agrees to indemnify and hold RBPG Inc., its agents and employees, and Exhibit Hall owner, its agents and employees, harmless from and against any and all claims, demands, liabilities and expense of third parties arising out of the use of leased space. EXHIBITOR AGREES TO CARRY AND MAINTAIN ITS OWN PUBLIC LIABILITY INSURANCE. 11. FAILURE TO HOLD SHOW - If, for any reason whatsoever, RBPG Inc. is unable to conduct subject Show, Exhibitor shall receive a full refund of any rental paid, and RBPG Inc. shall have no further obligation or liability to the Exhibitor. If RBPG Inc. is prevented from holding subject Show due to circumstances beyond its control, including but not limited to strikes, civil disobedience or acts of God, Exhibitor shall receive a refund of any rental paid, less a proportionate share of the Exposition expenses, and RBPG Inc. shall have no further obligation or liability to the Exhibitor. 12. FIRE, SAFETY & HEALTH REGULATIONS - Exhibitor agrees to comply with all government fire, safety and health regulations. All Exhibitor property shall be located reasonably within the booth area. All tables must be skirted. Boxes and other packing materials must be out of Show visitors sight. Only fireproof materials may be used for displays and table skirting. Exhibitor will take all necessary fire precautions. 13. GENERAL - No food or beverages shall be sold or distributed without prior written approval by RBPG Inc. Voice amplification systems are not allowed unless prior written approval is obtained from RBPG Inc. Exhibitor assumes full responsibility for obtaining and paying all required licenses, permits and taxes. Any and all matters not specifically covered by these Terms and Conditions shall be subject solely to the decision of RBPG Inc. 14. MISCELLANEOUS - (a) This Agreement shall be governed by the laws of the State of Utah. Any action brought to enforce any provision of this Agreement shall be brought in Salt Lake County, State of Utah. (b) In the event any legal action is required by a party to this Agreement to enforce the provisions of same, the prevailing party shall be entitled to recover its cost of suit, including reasonable attorney's fees. (c) The paragraph headings used herein are for the convenience of the parties and shall not be deemed to modify or construe the provisions hereof. (d) This instrument sets forth the entire Agreement among the parties and supersedes all prior agreements whether written or oral. | |
